EvoHire Inc. Terms of Service

Effective Date: September 25, 2025

PLEASE READ THIS TERMS OF SERVICE AGREEMENT CAREFULLY. BY CREATING AN ACCOUNT, ACCESSING THE WEBSITE, OR USING ANY PART OF THE SERVICE, YOU ARE AGREEING TO BE LEGALLY BOUND BY ALL TERMS AND CONDITIONS OF THIS AGREEMENT.

This Terms of Service Agreement ("Agreement") is a binding legal contract that governs your access to and use of the AI-powered recruitment platform and related services (collectively, the "Service") provided by EvoHire Inc., a Delaware, USA corporation ("EvoHire," "we," "us," or "our").

You ("User," "you," or "your") agree to be bound by this Agreement and the EvoHire Privacy Policy, which is incorporated herein by reference. If you do not agree to all the terms and conditions of this Agreement, you are not permitted to use the Service.

If you are entering into this Agreement on behalf of a company, recruitment agency, or other legal entity, you represent and warrant that you have the authority to bind such entity to this Agreement, in which case the terms "User," "you," or "your" shall refer to such entity.

1. Description of Service

EvoHire provides an AI-powered platform designed to assist in the technical screening of job candidates. The Service enables Users to create jobs, select required skills, and invite candidates to conduct automated preliminary screening interviews via phone or video call.

The core features of the Service include:

  • An AI agent that conducts interviews with candidates.
  • Recording and transcription of candidate interviews.
  • Generation of analytical reports which may include AI-generated summaries, assessments of answers, and behavioral analysis to detect potential academic dishonesty or cheating.
  • A dashboard for Users to manage jobs and review candidate reports.

2. AI and Automated Analysis Disclaimer

You acknowledge that the reports, summaries, ratings, and cheat-detection metrics provided by the Service are generated by an automated AI system. These outputs are intended to be used as a supplementary screening tool and not as the sole basis for any employment, hiring, or other professional decision. EvoHire does not warrant the accuracy, completeness, or reliability of any AI-generated analysis. The final judgment and all hiring decisions remain your sole responsibility.

3. Account Registration and Security

To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify EvoHire immediately of any unauthorized use of your account.

4. User and Candidate Data

For the purposes of this Agreement, we define two categories of data:

  • "User Data" refers to the information you provide to EvoHire to manage your account and define screening parameters, including but not limited to your name, email address, job descriptions, and selected skill requirements.
  • "Candidate Data" refers to any and all information, personal data, video and audio recordings, transcripts, and other materials concerning a job candidate that are submitted to or processed through the Service.

5. Data Responsibilities and Licenses

5.1. Your Responsibilities for Candidate Data
You are solely responsible for the Candidate Data submitted to the Service. You represent and warrant that before directing any candidate to use the Service, you have:
(a) Clearly and conspicuously informed the candidate that they will be interviewed by an automated AI agent;
(b) Notified them that the interview will be recorded, transcribed, and analyzed for purposes including skill assessment and cheat detection; and
(c) Obtained all necessary and legally sufficient consents from the candidate to collect, process, use, and share their Candidate Data with EvoHire for the purposes of providing the Service as described in this Agreement.

You agree to indemnify, defend, and hold harmless EvoHire from any and all claims, damages, and liabilities arising from your failure to obtain proper consent from a candidate.

5.2. License Grant to EvoHire You retain all ownership rights in your User Data and in the Candidate Data. However, you grant EvoHire a worldwide, non-exclusive, royalty-free, perpetual, and sub-licensable license to use, process, store, display, and create derivative works from the User Data and Candidate Data for the following purposes:(a) To provide, maintain, and secure the Service for you.(b) To improve and enhance the Service, including for the purpose of training and refining our artificial intelligence models. All data used for model training will be anonymized and aggregated to protect privacy.

You warrant that you have secured the necessary rights and consents from candidates to grant this license to EvoHire.

6. User Conduct and Restrictions

You agree not to use the Service for any unlawful purpose or to engage in any of the following prohibited activities:

  • Interfering with the proper working of the Service.
  • Attempting to probe, scan, or test the vulnerability of any EvoHire system or network.
  • Using any automated system to access the Service in a manner that sends more request messages to the EvoHire servers than a human can reasonably produce in the same period.
  • Uploading invalid data, viruses, worms, or other software agents through the Service.
  • Impersonating another person or entity.

7. Fees, Payment, and Cancellation

7.1. Subscription Fees You agree to pay all applicable fees for the subscription plan you select. All fees are quoted in U.S. Dollars unless otherwise specified. Fees are non-cancelable and non-refundable.

7.2. Payment and Billing We use a third-party payment processor (Stripe, Inc.) to bill you through a payment account linked to your account. The processing of payments will be subject to the terms, conditions, and privacy policies of the payment processor in addition to this Agreement.

7.3. Subscription Renewal Your subscription will automatically renew at the end of each billing cycle unless you cancel it. You authorize us to charge your payment method for the renewal term.

7.4. Cancellation and Refunds You may terminate your subscription at any time by cancelling through your account settings. Termination will be effective at the end of the current billing period. No refunds or credits will be provided for partial subscription periods, unused interview credits, or downgrades.

8. Intellectual Property

Excluding User Data and Candidate Data, all aspects of the Service, including its "look and feel," software, algorithms, and all other materials, are the exclusive property of EvoHire Inc. and its licensors.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, effective immediately. Upon termination, your right to use the Service will immediately cease. All provisions of this Agreement which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." EVOHIRE AND ITS SUPPLIERS AND LICENSORS HEREBY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NEITHER EVOHIRE NOR ITS SUPPLIERS AND LICENSORS MAKE ANY WARRANTY THAT THE SERVICE WILL BE ERROR-FREE OR THAT ACCESS THERETO WILL BE CONTINUOUS OR UNINTERRUPTED.

11. Limitation of Liability

IN NO EVENT WILL EVOHIRE, OR ITS SUPPLIERS OR LICENSORS, BE LIABLE WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR OTHER LEGAL OR EQUITABLE THEORY FOR: (I) ANY SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES; (II) THE COST OF PROCUREMENT FOR SUBSTITUTE PRODUCTS OR SERVICES; (III) FOR INTERRUPTION OF USE OR LOSS OR CORRUPTION OF DATA; OR (IV) FOR ANY AMOUNTS THAT EXCEED THE FEES PAID BY YOU TO EVOHIRE UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE CAUSE OF ACTION.

12. Indemnification

You agree to indemnify and hold harmless EvoHire, its contractors, and its licensors, and their respective directors, officers, employees, and agents from and against any and all claims and expenses, including attorneys' fees, arising out of your use of the Service, including but not limited to your violation of this Agreement or your failure to obtain required candidate consents.

13. Dispute Resolution by Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.

13.1. Agreement to Arbitrate
This Dispute Resolution by Binding Arbitration section is referred to in this Agreement as the "Arbitration Agreement." You agree that any and all disputes or claims that have arisen or may arise between you and EvoHire shall be resolved exclusively through final and binding arbitration, rather than in court. The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement. The arbitration will be conducted in Delaware, USA.

13.2. Prohibition of Class and Representative Actions and Non-Individualized Relief
YOU AND EVOHIRE AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING.
UNLESS BOTH YOU AND EVOHIRE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S OR PARTY'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING.

13.3. Arbitration Procedures
Arbitration will be conducted by a neutral arbitrator in accordance with the rules of a recognized arbitration body agreed upon by the parties. The arbitration shall be conducted in the English language.

14. Changes to this Agreement

EvoHire reserves the right, at its sole discretion, to modify or replace any part of this Agreement. We will provide reasonable notice of any material changes (e.g., by posting on our website or sending an email to your registered address). By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

15. Miscellaneous
  • Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware and the federal laws of the United States applicable therein.
  • Entire Agreement: This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and EvoHire.
  • Severability: If any provision of this Agreement is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
